Please read through these terms and
conditions before opening an account.
This form sets out terms on which Telesave will provide telecommunication services to you. The call prices shown in
our rates pages and in our notes for customers (at the bottom of the rates
pages) are an integral part of these terms and
conditions. The description of any service in these documents does not imply an
obligation on Telesave to provide services other than described below. By
using Telesave you agree to the following terms and conditions:

| 1. |
Telesave may vary any charges or
rates at any time - we will notify such changes via our mailing list and our
rates pages (which are always correct and show the price you will be charged
for your call). You may request conformation of a price for a specific
number by contacting customer services. All prices
include VAT.
Telesave will charge you for services in accordance with relevant
terms, tariffs, rules and charges applying at the time the service is used.

In order to provide services to
you, Telesave will select and at any time change its own suppliers. Telesave
does not guarantee the use of any particular telecommunications carrier for
your call.

| 3. |
You agree and authorise Telesave
to use your personal information for the purposes of operating the service
in accordance with the Data Protection Act. Your details will not be passed to a third
party except where Telesave are required to obey an order by a court or
other sufficiently authorised statutory body to release your details.

| 4. |
You agree that "personal
information" referred to in clause 3 includes:
| (a) personal identifying details such as your name, address and date of
birth.
|
|
(b) information relating to your phone calls including your telephone
number, the telephone numbers you call and the times and duration of your
calls.
|
|
(c) credit/debit card information used to purchase services.
|

| 5. |
Services are made available to
you on condition that you do not resupply or resell or make services
available to any person on a commercial basis and that you do not use the
services in any way or for any purpose prohibited by law. You agree to
indemnify Telesave against any claims, losses, damages, costs,
liabilities and expenses (including, without limitation, legal costs and
expenses) resulting from illegal actions in relation to the services
provided to you whether engaged in by you or any other person.

Telesave may without
notice, immediately terminate any call or the provision of services as soon
the credit funds on your account are exhausted by the cost of services
provided to and used by you.

| 7. |
Telesave shall not be
liable to you if it is prevented, hindered or delayed from providing the
services by any event or circumstance beyond its reasonable control
including, though without limitation, the act or default of any third party
on whom Telesave is reliant to provide the services. In any event, you
agree that the total liability of Telesave to you or a person claiming
through you in relation to the services (including any failure by Telesave to provide the
services or any suspension or disconnection of the services) is limited to the
amount of credit balance held within your Telesave account at that time.

While Telesave will
endeavour to provide services of a reasonable quality, via the public
switched telephone and other networks, Telesave does not guarantee the
quality of the services, although we aim to provide the highest quality
possible. Telesave does not provide service for emergency use. |
| 9. |
Telesave will
charge you for all services supplied by Telesave to the service numbers
nominated by you. There is a minimum charge per call. Services are charged
in one-second increments with partial seconds of usage rounded up to the
next full second. Call charges are rounded up to the nearest penny.

| 10. |
Charges for prepaid Services
supplied by Telesave will be deducted from the credit balance of your
deposit at the end of the call made by you from the service numbers
nominated by you.

| 11. |
Telesave may suspend and/or
disconnect your services at Telesave's discretion without prior notice:
| (a) if you breach any of these terms and conditions. |
|
(b) if any provider is unable or unwilling, or Telesave is unable, for
any reason including any act or omission of any provider, to (where
relevant) supply or provide a service or services.
|

(c) if Telesave forms a view, based on information supplied by you or
any credit agency or provider, that you may not be willing or able to meet
obligations in relation to payment for services.

(d) if you become or in Telesave's reasonable opinion are likely to become
insolvent.
|
|
(e) if you die; or in the case of a partnership, on dissolution or filing of
an application for dissolution; or in the case of a company, on filing of an
application for winding up, or appointment of an administrator. |

If you have an observation or
complaint regarding the services you may contact our freephone helpline
(0800 066 4416).

| 13. |
You may also refer any
complaints regarding the services to OFTEL.
|
| 14. |
You shall not use, nor allow
others to use, the services for any improper or unlawful purpose or in any
manner which is offensive or unlawful. |
| 15. |
These terms and conditions shall
be governed by and interpreted in accordance with English law, and the
English courts shall have jurisdiction to resolve any disputes between us.

If you request a refund of any
outstanding account balance Telesave reserves the right to charge an
administration charge of £5.00 or 10% of the remaining balance (whichever is
highest) to cover our administration costs.

If your Telesave account
has not been used by yourself for one calendar year from the date of the
last charged call or top-up, whichever is the latest, your credit balance
will expire and your fund balance set to zero. If you know you will
not be using your account for a lengthy period, please apply to us for a
refund.

18.
|
These terms and conditions set
out the full extent of each party's obligations and liabilities in respect
of the services. Any condition, warranty, representation or other term
concerning the services which might otherwise be implied into or
incorporated into these terms and conditions, or any collateral contract,
whether by statute, common law or otherwise, is hereby excluded. Neither
party shall have any remedy in respect of any untrue statement made to it
upon which it relied in entering into these terms and conditions (unless
such untrue statement was made fraudulently) and each party's only remedy
shall be for breach of contract as provided in these terms and conditions.
